Secondment agreement
This agreement is made on 15 July 2028 between:
- Brightwater Analytics BV, of Keizersgracht 120, 1015 CW Amsterdam, Netherlands (the "Home Organisation");
- Northfield Retail Group Ltd, of 9 Albert Square, Manchester M2 5DB, United Kingdom (the "Host Organisation"); and
- Priya Nair (the "Employee").
The Home Organisation and the Host Organisation are together "the Organisations". The Home Organisation employs the Employee. The Host Organisation needs the Employee's skills for a limited time, and the Home Organisation agrees to release the Employee to work for the Host Organisation on the terms below (the "Secondment").
1. The Secondment
1.1 The Home Organisation sends the Employee, whose role is Senior Data Analyst, to work for the Host Organisation as Interim Head of Reporting, from 1 September 2028 to 28 February 2029 ("the Secondment Period"), at: Host organisation's office in Manchester, with one remote day a week.
1.2 The Employee agrees to the Secondment. The Employee confirms they have agreed freely, have read this agreement and have had the chance to take advice on it.
1.3 The Secondment Period may be extended only by a written agreement signed by all three parties before it ends.
2. Duties and goals
2.1 The Employee will carry out these duties and work towards these goals:
Set up the monthly reporting process, train a team of four analysts, and hand over a documented system.
2.2 The Host Organisation will not ask the Employee to do work that is very different from this, or work that is unlawful or unsafe, without the written agreement of the Home Organisation and the Employee.
2.3 The Employee will do the work with proper skill and care and in good faith, and will use reasonable efforts to reach the goals.
3. Direction of the work
3.1 The Employee works under the day-to-day direction of Sofia Marin, Finance Director, or whoever the Host Organisation replaces them with after telling the Home Organisation.
3.2 The Host Organisation directs how, when and where the work is done within this agreement. It does not have the power to change the Employee's contract, pay or position with the Home Organisation, to discipline or dismiss the Employee, or to change the Secondment Period.
3.3 The Employee works as part of the Host Organisation's team but is not its employee and will not hold themselves out as its employee, except that the Employee may sign for the Host Organisation if it gives written authority for that.
4. Employment stays with the Home Organisation
4.1 The Employee stays employed by the Home Organisation. Their contract of employment continues, and their service counts as unbroken for all purposes, including pay increases, pension and notice.
4.2 The Home Organisation remains responsible for the Employee's contract, pay, tax, social contributions and pension, unless the law of the place of work says that another party must deal with them. If it does, the Host Organisation will do so on the Home Organisation's behalf and the Home Organisation will repay it under section 7.
4.3 Nothing in this agreement makes the Host Organisation the Employee's employer. If a court or an authority decides that it is, the Home Organisation will repay the Host Organisation under section 7 what the Host Organisation has had to pay as employer for the Secondment Period, and will help the Host Organisation to deal with the claim.
