Terms of service

These terms are between Respiresoft LLC, 32 N Gould St, Sheridan, WY 82801, United States, and the customer opening an account. Using nerix.ai means agreeing to them.

nerix.ai is an AI workspace: a library that indexes your documents, chat that answers from them with citations, the Sheet, where drafts live with version history, document templates with e-signatures, team tools such as tasks, meetings, a help desk and team chat, checks, automations and a website builder. Some capabilities are labelled "coming soon" in the product; they are part of the roadmap, not of the current service.

nerix.ai is for people aged 18 and over. Every account belongs to an organisation: a single person for individual accounts, a team for business ones. Roles (owner, admin, member, viewer, and guests for people from outside) control what each person can do. You are responsible for what happens under your credentials and for keeping them safe.

Plans are in euros, billed monthly or yearly at a discount, with a monthly credit allowance and seats. AI work is metered in credits: asking a question, the short summary of each new document, reading scanned pages and exporting a file spend them; storing and searching your documents does not. Costs are decided server-side and every movement is recorded in an append-only ledger you can inspect. A plan's credits reset each month and do not carry over. Credit packs top the balance up and last 12 months. Prices may change with notice; a change never applies retroactively to credits you already hold.

Plans and credit packs are sold through Link, part of Stripe, which is the seller of record: it takes the payment, handles any sales tax or VAT due where you are, sends your receipts and invoices, and may refund a payment under its own rules. Your card statement shows LINK.COM. Prices include any tax due. If you have a VAT number, enter it at checkout.

For a receipt, a refund or a charge you do not recognise, write to info@nerix.ai. A refund goes back to the card you paid with. Please write to us before asking your bank, so we can sort it out quickly.

Do not use the service to break the law, to infringe others' rights, to attempt to extract other customers' data, or to probe or overload the infrastructure. We may suspend an account that endangers the service or other customers, and will say why. The acceptable use policy has the full list.

Your documents remain yours. You grant us the licence needed to store, index and process them solely to provide the service, and nothing else. We never use them to train a model. Do not remove the marks that show content was made by AI, or the labels the law requires.

Answers cite their sources so you can check them, and you should: nerix.ai is not a lawyer, an accountant or a substitute for professional advice, and an answer is not a representation that the underlying document says what you hope it says. The product prints this reminder under its own answers.

Your organisation selects which AI providers may process its conversations, including providers whose cautions are printed in the picker. That selection is your organisation's own decision.

The service is provided as available. We do not currently offer an uptime commitment, and we will not pretend to one here that we could not honour; when a formal SLA exists it will be published and referenced from this page.

Nothing in these terms excludes liability that cannot lawfully be excluded. Beyond that, our aggregate liability is capped at the fees your organisation paid in the twelve months before the claim, and neither party is liable for indirect or consequential loss.

You can stop using the service at any time; a monthly plan has no lock-in, and a yearly plan is paid for the year ahead. Owners can export the whole workspace at any time, free of charge, in Settings, Data and legal. After deletion, erasure follows the schedule in the privacy policy.

For personal data you put into nerix.ai we are your processor. The data processing agreement at nerix.ai/legal/dpa is part of these terms; the owner of a business workspace accepts it in the app, and we record the date, the version and who accepted. It prevails over these terms for personal data.

You can move to another provider or to your own systems. Give notice of up to two months; a transition period of 30 days follows, extendable when you ask (if a technical reason makes 30 days impossible, we tell you within 14 working days and the period can run up to seven months). After it you have at least 30 days to retrieve your data, and then we delete it. The data and formats are listed at nerix.ai/switching. Exporting is free, and there are no switching charges.

You may withdraw within 14 days. If you ask us to start at once and confirm that you lose the right to withdraw once we have fully provided the service or delivered the credits, the right ends then; if you withdraw from a plan after it started, you pay for the part used. You can cancel a plan at any time in Settings, Billing and usage, Cancel plan; it stops at the end of the paid period. We email you a confirmation of every order. Your mandatory consumer rights in your country, and your right to go to court where you live, stay.

Anyone can report illegal content on a shared link or a website published with nerix at nerix.ai/legal/report. A person reviews each report; we decide in a timely and careful way and tell the sender. When we remove content or switch off a link or a site, we send its owner a statement of reasons. Removals are decided by people, not by automated systems. You can challenge a decision by writing to info@nerix.ai, through a certified out-of-court dispute settlement body, or in court.

These terms are governed by the laws of the State of Wyoming, United States. If you are a consumer, this does not take away the protection the mandatory law of the country where you live gives you.

When these terms change materially, the date above changes and organisation owners are notified in the product before the change takes effect.
