2. Price and payment
2.1 The price is EUR 14,500.
2.2 The Buyer has paid a deposit of EUR 1,000, which the Seller acknowledges and which counts towards the price.
2.3 The Buyer will pay the rest of the price by bank transfer to the Seller's account, which must be received before the keys are handed over. Ownership does not pass until the full price has been received.
2.4 A loan of EUR 3,000 with Rheinbank, which the Seller will pay off from the price
2.5 If the Buyer does not take the Vehicle on the date of handover and does not have a good reason, the Seller may keep the deposit as a fair payment for the trouble caused, and may sell the Vehicle to someone else. If the Seller does not hand it over, it will repay the deposit at once.
3. Condition and known defects
3.1 The Seller states the condition of the Vehicle as follows.
Small scratch on the rear bumper. Front right tyre worn and due for replacement. Air conditioning needs a service.
3.2 Full service history, last service at 60,000 km in March 2026
3.3 The Buyer may inspect the Vehicle and take it for a test drive, with a person of its choice or a mechanic, before the handover. The Seller will answer the Buyer's questions about it truthfully.
4. As seen or with a warranty
4.1 As seen or with a warranty
4.2 The Seller will pay for the repair of faults in the engine and gearbox that appear within 3 months or 3,000 km of handover, up to the price paid
5. Documents and keys
5.1 At the handover the Seller will give the Buyer the registration certificate, roadworthiness certificate valid to May 2027, service book, owner's manual and the invoice for the last service.
5.2 The Seller will also give the Buyer two keys and the locking wheel nut key, and will tell the Buyer of any code, such as an alarm or radio code, that the Buyer needs.
5.3 The Seller will sign any form that is needed to transfer the registration and the ownership, and will give the Buyer the proof of ownership. If the Seller loses a required document, the Seller will get a copy at its own cost.
6. The Seller's statements
The Seller states that:
- the Seller is the lawful owner of the Vehicle and has the right to sell it, and the Vehicle is free of any loan, lien, claim or other right of a third party, except as section 2.4 says;
- the Vehicle has not been reported stolen, and has not been written off by an insurer, except as section 3 says;
- the VIN or chassis number and the registration number are as in the table in section 1, and the Vehicle has not been changed in a way that is not stated;
- the mileage shown is, as far as the Seller knows, the true distance the Vehicle has travelled, and the Seller has not changed the odometer;
- the Seller has told the Buyer of every defect and accident damage that it knows of; and
- the documents that the Seller gives the Buyer are genuine and current.
If one of these statements is untrue, the Buyer may end this agreement and be repaid the price, or may claim for its loss, in addition to its other rights under the law.
7. Handover and risk
7.1 The Seller will hand over the Vehicle, with the documents and keys, on 14 March 2027 at 14:30 at the Seller's home address (the "Handover").
7.2 At the Handover the parties will check the Vehicle together, and the Buyer will confirm in writing that it has received the Vehicle, the keys and the documents, and note the mileage and fuel level.
7.3 Until the Handover the Vehicle is at the Seller's risk and the Seller will keep it insured and take reasonable care of it. After the Handover the risk of loss, theft or damage passes to the Buyer.
7.4 If the Vehicle is damaged or lost before the Handover, the Buyer may end this agreement and be repaid what it has paid, or accept the Vehicle in its damaged state at a lower price that the parties agree.
8. Transfer of registration and ownership
8.1 Ownership of the Vehicle passes to the Buyer at the Handover, once the full price has been received.
8.2 The Buyer will register the Vehicle in its own name with the authority that is responsible for it, within 7 days of the Handover, or by any earlier time that the law requires. The Seller will help with this and will give the authority the notice of sale that the law requires.
8.3 The Seller will take off or cancel its own insurance, tax and any permit for the Vehicle after the Handover, and will tell the registration authority of the sale. The Buyer will have valid insurance for the Vehicle from the moment of the Handover, before it drives it on a public road, and will not drive it on a public road if it is not registered or insured as the law requires.
8.4 The Seller will not use the Vehicle after the Handover.
9. Fines, tolls and charges
9.1 The Seller is responsible for all fines, tolls, parking and congestion charges, taxes and other charges that relate to the use of the Vehicle before the Handover, even if they are notified later.
9.2 The Buyer is responsible for all of these that relate to the use of the Vehicle after the Handover. The date and time of the Handover in section 7.1 decide which period a charge belongs to.
9.3 If one party receives a notice for a charge that belongs to the other, it will send it on within 7 days, and the other will pay it or deal with it, and will repay any amount the first party has had to pay. If a notice must name the driver, the party that was responsible for the Vehicle at the time will give the details.
10. Declarations by the Buyer
The Buyer states that it has inspected the Vehicle, or has had the chance to, that it is old enough and has the licence that the law requires to drive and register it, and that it has read the statements in section 6 and the information in section 3.
11. Cancellation
If either party breaks this agreement seriously and does not put it right within 7 days of a written notice, the other may end it. The Seller will then repay what the Buyer has paid, less any real and reasonable loss that the Buyer's breach has caused, and the Buyer will return the Vehicle if it has been handed over.
12. Law and disputes
This agreement, and any dispute that arises from it, is governed by the laws of Germany. The parties will first try to settle any dispute by discussing it in good faith for 14 days after one of them gives written notice of it.
The place for deciding any dispute under this agreement is Cologne. How disputes are decided
Nothing in this agreement takes away a right that the law gives a buyer and that cannot be given up.
13. General
- This agreement is the whole agreement of the parties on its subject. A change to it must be in writing and signed by both parties.
- If a part of this agreement is found invalid, the rest stays in force.
- Each party will keep a signed copy of this agreement. The Buyer's and the Seller's personal details will be used only for the sale and the registration of the Vehicle.
