Affiliate Agreement
This agreement is made on 7 November 2026 between:
- Lumen Learning GmbH, of Torstrasse 101, 10119 Berlin, Germany ("the Company"); and
- Priya Nair, of 14 Lakeview Road, Pune 411001, India ("the Affiliate").
The Company runs an affiliate programme that pays commission for sales that come through tracked links. The Affiliate wishes to join it. They agree as follows.
1. Words used in this agreement
- "Products" means the online courses and yearly memberships sold on lumenlearning.example.
- "Tracking System" means the affiliate dashboard at partners.lumenlearning.example.
- "Link" means a web address, code or other means that the Tracking System gives the Affiliate to show that a visitor came from the Affiliate.
- "Valid Sale" means a sale that meets section 4.
- "Net Price" means the price the customer pays for a Product, less taxes, delivery charges, discounts, refunds and payment fees.
- "Brand" means the Company's names, trade marks, logos and product images.
2. Joining and approval
2.1 The Affiliate applies to the programme through the Tracking System. The agreement starts when the Company accepts the application in writing or by email. The Company may refuse or cancel an application without giving a reason, but will tell the Affiliate.
2.2 The Affiliate promises that the information it gives is true and complete, that it is of legal age to sign contracts where it lives, and that it will keep that information up to date. The Affiliate will promote only through the following: the blog learnwithpriya.example and the YouTube channel Learn With Priya. It may add other sites or channels only with the Company's written approval.
2.3 The Affiliate is an independent business. It is not the Company's employee, agent, partner or worker, and cannot make promises or sign for the Company. It pays its own costs and its own taxes.
2.4 The programme is not exclusive. The Company may run the programme with others and sell the Products in any way, and the Affiliate may promote other products, as long as it follows this agreement.
3. Links and tracking
3.1 The Affiliate will promote the Products only with the Links the Tracking System gives it. A sale counts only if it is tracked through a Link.
3.2 When a visitor clicks a Link, the Tracking System sets a cookie or uses a similar tool that remembers the click for 30 days. If the visitor buys within that time, and no later Link from another affiliate was clicked, the sale is credited to the Affiliate. The Company's records in the Tracking System decide which sales are credited, unless there is an obvious error.
3.3 Tracking can fail, for example when a visitor blocks cookies or changes device. The Company does not promise that every sale will be tracked.
4. What counts as a valid sale
A sale is a Valid Sale only if all of the following are true:
- the customer pays for the Product in full by a genuine payment method;
- it comes through a Link under section 3;
- the customer is not the Affiliate, a person connected with the Affiliate, or a person who lives or works with the Affiliate;
- the sale is not made by fraud, by a stolen card, by a mistake in the Affiliate's promotion, or by a breach of this agreement; and
- the sale is not refunded, charged back or cancelled within 30 days of the date of sale.
5. Commission
5.1 The Company will pay the Affiliate commission on each Valid Sale at these rates:
| Product | Commission |
|---|---|
| Single course | 25% of the net price |
| Yearly membership | 30% of the net price of the first year |
5.2 Commission is calculated on the Net Price, in euros, unless the table says otherwise. The Company may change the rates by giving 30 days' written notice, and a change will not affect sales made before the notice.
5.3 Commission is not owed on a renewal, a sale of anything not named in the table, or a sale where the Company has special pricing for a large customer, unless the table says so.
5.4 Commission that has not become final remains pending in the Tracking System. It becomes final when the period in section 4 ends without a refund, a chargeback or a cancellation.
6. Refunds and chargebacks
If the Company refunds a sale, or the payment is reversed or charged back, after commission has been paid, the Company may take the commission for that sale from the Affiliate's next payment. If no payment is coming, the Affiliate will repay it within 14 days of a written request. The same applies to commission paid for a sale that is later found not to be a Valid Sale.
7. Payment
7.1 The Company will pay final commission by bank transfer or PayPal on the 15th of each month, for commission that became final in the month before, once the amount reaches EUR 50. A smaller amount is carried to the next payment period and is not lost, unless this agreement ends, in which case section 12.3 applies.
7.2 The Affiliate is responsible for giving correct payment details and any tax forms the law requires. The Company may hold payment until it has them. The Company may deduct from commission any tax it must withhold, and will give the Affiliate a record of it. Bank and payment charges on the Affiliate's side are the Affiliate's.
7.3 The Affiliate has 60 days from the date of a payment statement to tell the Company in writing about a mistake in it. After that the statement is treated as correct.
8. Rules for promotion
8.1 The Affiliate will promote the Products honestly, and will follow the law that applies where it promotes and where the audience lives, including the rules on advertising, consumer protection, privacy and electronic messages.
8.2 The Affiliate will not:
- say anything about a Product that is false, misleading, unfair to a competitor, or not supported by what the Company says;
- send unrequested email, text messages or direct messages, or post comments and reviews in a way that looks like spam;
- use a Link in any way that hides where it leads, or put a Link on a site with illegal, hateful, adult or deceptive content;
- pretend to be the Company, or to be an independent reviewer when it is paid;
- use cookie stuffing, forced clicks, hidden frames, bots, fake traffic or any other method that credits a sale that the Affiliate did not really bring about;
- buy through its own Link, or offer to share commission with customers, unless the Company agrees;
- use the Brand, or terms that look like the Brand, in a domain name, social media account or app name.
- bidding on the search terms 'Lumen Learning' and 'Lumen Learning discount code' in paid search
9. Disclosure of the paid relationship
The Affiliate will make it clear, wherever it promotes a Product, that it may earn a commission if a person buys through its Link. The notice must be easy to see and understand, near the Link or recommendation, in the language of the audience, and must not be hidden in a general page or in hashtags that people overlook. The Affiliate will follow the stricter of the Company's instructions and the law that applies.
10. Use of the Brand
10.1 The Company gives the Affiliate a non-exclusive, non-transferable, revocable licence to use the Brand during this agreement, only to promote the Products under this agreement.
Approved brand material is available from the media kit at partners.lumenlearning.example/media.
10.2 The Affiliate will not change the Brand, and will follow the Company's brand guidelines. All rights and goodwill in the Brand belong to the Company. The Affiliate may not register or use anything that looks like the Brand.
11. Data protection
11.1 Each party will follow the data protection and privacy laws that apply to it. Each will be a separate controller of the personal data it handles, unless the parties agree otherwise in writing.
11.2 The Company controls customer data. The Affiliate will not try to collect customer data through the Tracking System or the Company's site, and will use any data it gets from the Company only for this agreement.
11.3 The Affiliate will give its own visitors the notice and ask for the consent that the law requires for cookies and tracking on its own site, and will not collect personal data about visitors for the Company's use except as the law allows.
12. Suspension and ending
12.1 The Company may suspend the Affiliate's account and hold commission at once if it reasonably thinks that the Affiliate broke section 8, 9 or 10 or acted fraudulently, while it looks into the matter. If the breach is confirmed, the Company may end this agreement at once and keep commission for sales that were affected.
12.2 Either party may end this agreement at any time by giving the other 14 days' written notice, or by closing the account in the Tracking System.
12.3 When this agreement ends, the Affiliate will remove the Links and the Brand within 14 days. The Company will pay final commission for Valid Sales made before the end, even if it is below the payout threshold, once the period in section 4 passes, less anything owed under section 6. Commission is not owed for sales made after the end.
12.4 Sections 6, 9, 11, 12.3, 13 and 14 continue after the end.
13. Liability
13.1 Nothing in this agreement limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law does not allow to be limited.
13.2 The Company provides the programme and the Tracking System as they are. It does not promise that they will always work without a break, or that the Affiliate will earn any amount.
13.3 Subject to section 13.1, neither party is liable for indirect or consequential loss, or for loss of profit, and the Company's total liability to the Affiliate under this agreement is limited to the commission that is due and unpaid to the Affiliate.
13.4 The Affiliate will compensate the Company for loss and claims that arise from the Affiliate's breach of sections 8, 9 or 10, to the extent the law allows.
14. General
- This agreement is the whole agreement between the parties about the programme. It replaces everything said or written earlier. The Company may change its terms by giving 30 days' notice, and the Affiliate may end the agreement under section 12 if it does not agree.
- If any part of this agreement cannot be enforced, the rest remains in effect.
- A party that does not use a right straight away has not given it up.
- The Affiliate may not transfer this agreement. The Company may transfer it to a successor to its business.
- This agreement may be signed in separate copies and electronically, and together they form one agreement.
15. Governing law and disputes
This agreement, and any dispute that arises from it, is governed by the laws of Germany. The parties will first try to settle any dispute by discussing it in good faith for 30 days after one of them gives written notice of it.
The place for deciding any dispute under this agreement is Berlin. How disputes are decided
