Cleaning Service Agreement

This agreement is made on 7 November 2026 between:

  1. Maple Dental Practice, of 4 High Street, Cardiff CF10 1AA, United Kingdom ("the Client"); and
  2. BrightSpace Cleaning Ltd, of 27 Park Row, Cardiff CF11 6BB, United Kingdom ("the Cleaner").

The Client wishes to have its premises cleaned, and the Cleaner agrees to clean them. They agree as follows.

1. The premises

The Cleaner will clean the following premises (the "Premises").

Maple Dental Practice, 4 High Street, Cardiff, ground and first floor, about 180 square metres

2. Services, schedule and scope

2.1 The Cleaner will carry out the cleaning in each area, with the tasks and at the frequency in the table below (the "Services").

Area Tasks and how often
Reception and waiting room Vacuum floors, dust surfaces, wipe door handles and windowsills, every visit
Treatment rooms Mop floors, clean and disinfect worktops and sinks, empty bins, every visit

2.2 Services that are not in the table are not included. Deep cleaning, carpet shampooing and outside windows are extra and are priced when asked for.

2.3 The Cleaner will clean on these days and at these times (the "Visits"): Monday, Wednesday and Friday, from 18:30 to 20:30. The first Visit is on 3 January 2027. The parties may agree a different time in writing, and a message by email or text is enough.

2.4 The Cleaner will do the work with reasonable skill and care, using methods that are safe for the surfaces, furniture and equipment of the Premises. The Cleaner will not move or touch papers, valuables, medicines, computers or personal items, other than to clean around them, and will put back what it has to move.

2.5 The Client may ask for extra work. The Cleaner will say what it would cost before it begins, and will be paid for it only if the Client agrees.

3. Cleaning products and equipment

3.1 Who supplies materials and equipment

3.2 The Cleaner will use products that are suitable for the surfaces and that are sold for cleaning use. It will follow the safety instructions of the maker, store products safely, never mix products that can give off harmful fumes, and keep them out of the reach of children and animals.

3.3 If the Client needs particular products, for example fragrance-free ones, it will say so in writing and the parties will agree any change in the fee.

4. Staff and vetting

4.1 The Cleaner will use only suitable, trained and reliable people. Before they work at the Premises, the Cleaner will check each person's identity and their right to work, will check their record as far as the law allows and as is usual for work in people's homes or in offices, and will take up references from past employers.

4.2 The Cleaner is responsible for its people. It will pay them, and the tax and social insurance that is due for them, and will follow the laws on pay, hours, health and safety and the rights of workers. The Client is not their employer.

4.3 The Cleaner will tell the Client the names of the people who will clean the Premises, and will tell it in good time of any change. Only those people, and nobody else, may enter the Premises for the Cleaner. The Cleaner will not bring children, visitors or animals to the Premises.

4.4 Its people will behave politely, will not smoke, drink alcohol, or take drugs at the Premises, and will not use the Client's phone, computer, food or drink without permission.

4.5 The Client will give a safe place to work, tell the Cleaner of any hazard, such as broken glass or a slippery floor, and treat the Cleaner's people with respect. The Client will keep sharp objects, cash and valuable things put away.

5. Keys, alarms and access

5.1 The Client gives the Cleaner two keys and the alarm code, which the Cleaner will not copy, share or write down where others can see them

5.2 The Cleaner will keep any key or code safe, will not give it to anyone else, will not copy it, and will not mark it with the address of the Premises. It will tell the Client at once if it loses a key or if a code may be known to others, and it will pay the reasonable cost of changing a lock or a code that was lost because of its fault.

5.3 The Cleaner will lock the Premises and set the alarm when it leaves, and will turn off lights and close windows that it opened.

5.4 If the Cleaner cannot enter at the agreed time, because it is not given access, it will wait for 15 minutes and call the Client's contact. If it still cannot enter, the Visit may be charged in full.

6. Quality checks and complaints

6.1 The Client may check the work at any time. The contact persons for day-to-day matters are these.

Client: Alice Morgan, Practice Manager, 029 5550 1122
Cleaner: Ravi Patel, Team Leader, 07700 900123

6.2 If the Client finds that the work was not done or was not done properly, it will tell the Cleaner, in writing or by message, within 24 hours of the Visit, with the details and, where it can, a photo. The Cleaner will put it right, at its own cost, within 24 hours of the message, or at the next Visit if the Client agrees.

6.3 If the same fault comes back, or if the Client is not satisfied with the Cleaner's response, it may raise a complaint with the Cleaner's manager, who will reply in writing within five working days with what will be done. The parties will meet, if either asks, to agree how the Services will be improved.

6.4 If the Services are poorly done and the Cleaner does not put things right, the Client may reduce the next payment in proportion to the work that was not done, or, for repeated failures, end this agreement under section 11.

6.5 The Cleaner may ask the Client to give it a short list of what is satisfactory and what is not at the end of the first month, so that both parties can agree on the standard that is expected.

7. Fees and payment

7.1 The Client will pay the Cleaner GBP 65 for each visit for the Services.

7.2 Extra work is paid at the price agreed in advance under section 2.5.

7.3 The Cleaner will send an invoice each month showing the Visits made. The Client will pay it within 14 days of each monthly invoice, by bank transfer or another method that the parties agree.

7.4 The Cleaner may review the fee once a year, by at least 30 days' written notice, and the new fee applies only from the end of that notice. If the Client does not agree to the new fee, it may end this agreement by giving the notice in section 11.

7.5 All amounts are exclusive of value added tax, sales tax and similar taxes, which the Client will pay in addition if they are due and the invoice shows them. A sum not paid on time carries interest at 4% a year above the base rate of the central bank of the country of the currency of payment.

8. Missed and cancelled visits

8.1 The Client may cancel or move a Visit without charge by giving the Cleaner at least 24 hours' notice. A Visit that is cancelled with less notice may be charged in full, unless the Cleaner can use the time on other work.

8.2 If the Cleaner cannot attend a Visit, it will tell the Client as early as it can, and will give a replacement person or an extra Visit within three working days. A Visit that is not made up is not charged.

8.3 The Client does not have to pay for a Visit that was not made because of the Cleaner's fault.

9. Insurance

9.1 The Cleaner will have, throughout this agreement, public liability insurance of GBP 2 million, and any other insurance that the law requires for its people, and will show the Client the certificate when it asks.

9.2 The Cleaner will tell the Client at once if any of this cover ends or is reduced.

10. Damage and loss

10.1 The Cleaner will take reasonable care of the Premises and of what is in them. If the Cleaner or its people damage something, or lose or take something, because they did not take reasonable care or because of dishonesty, the Cleaner will repair or replace it, or pay its reasonable cost, as soon as it can.

10.2 The Client will tell the Cleaner of any damage or loss as soon as it finds out, in writing and with the details and any evidence, and will let the Cleaner and its insurer see it. The Cleaner will tell its insurer.

10.3 The Cleaner is not liable for damage that was there before, for fair wear, for items that were not safe to clean as described by their maker, or for damage that comes from something the Client had been warned about. The Cleaner will tell the Client if it sees something that cannot safely be cleaned.

10.4 Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that the law does not allow to be limited.

11. Term and ending

11.1 This agreement starts on 3 January 2027 and continues until it is ended. It cannot be ended by notice during the first 3 months, except under section 11.3.

11.2 After that, either party may end this agreement by giving 30 days written notice to the other.

11.3 Either party may end it at once by written notice if the other commits a serious breach and, where it can be put right, does not do so within seven days of a written request, or if the other becomes insolvent. Theft or serious damage by the Cleaner's people, and non-payment of undisputed sums for more than 14 days after a reminder, are serious breaches.

11.4 When this agreement ends, the Cleaner will return all keys, codes and passes on or before the last Visit, and the Client will pay for all Services done up to the end.

12. Confidentiality and privacy

The Cleaner and its people will keep secret what they see or hear at the Premises, will not read or copy documents or look at screens, will not take photos, and will not use the Client's information for any purpose other than the cleaning. This continues after this agreement ends. Where the Client has cameras in the Premises, it will tell the Cleaner where they are.

13. Health and safety

Each party will follow the health and safety law that applies to it. The Cleaner will use the safe way of working that its trade expects, including warning signs for wet floors and safe use of ladders and chemicals, and will report accidents at the Premises to the Client. The Client will tell the Cleaner of the risks at the Premises and of its fire and emergency arrangements.

14. Independent business

The Cleaner is an independent business. This agreement does not make the Cleaner or its people employees, partners or agents of the Client, and the Client does not control how the Cleaner does the work, apart from the standards in this agreement.

15. Law and disputes

This agreement, and any dispute that arises from it, is governed by the laws of England and Wales. The parties will first try to settle any dispute by discussing it in good faith for 30 days after one of them gives written notice of it.

The place for deciding any dispute under this agreement is Cardiff. How disputes are decided

16. General

  • This agreement is the whole agreement of the parties on its subject. A change must be in writing, or by message that both parties confirm, and may be made by the contact persons for minor operational points.
  • The Cleaner may not give the work to another business without the Client's written consent.
  • If a part of this agreement is found invalid, the rest stays in force.
  • Notices must be in writing, and sent to the address at the head of this agreement or to an email address that a party names.
  • This agreement may be signed in separate copies and electronically, and together they form one agreement.

Questions people ask

What details does this template ask for?

The form asks for 19 details, starting with Client: full name or company name, Client: address, Cleaner: full name or company name, Cleaner: address, Premises to be cleaned.

Can I download this template as Word or PDF?

Yes. When you have filled in the form, save it as a Word document to keep editing, or as a PDF to send or print. It is free and needs no account.

Is what I type sent anywhere?

No. What you type stays in your browser while you fill in the document. It only goes to nerix if you choose to open the template in the chat.

What should I check before I use this template?

Whether a cleaner counts as an employee or as a self-employed contractor depends on the country and on how the work is really done, and the wrong choice can mean unpaid tax and social insurance. Rules on background checks, minimum pay, working hours, cleaning chemicals and consumer cancellation rights also vary. Use this agreement with a cleaning business or a genuinely self-employed cleaner, check the local rules on vetting and insurance, and ask a lawyer if you are unsure.

Are these contract templates free?

Most are. You can fill in and download them for free as Word or PDF, with no account. A few long business agreements are premium: free to fill in, paid once to download, and marked with their price.

Is a template contract legally valid?

A signed agreement is usually valid when both sides understand and accept it, but rules differ by country and by type of contract. Treat a template as a careful starting point and check what applies where you are.

Do I need a lawyer to use a template?

For simple, low risk agreements many people do not. For large sums, property, employment disputes or anything unusual, ask a lawyer to review the draft first.

Can I change the terms?

Yes. Download the Word version and edit it, or ask nerix in the chat to make a clause stricter, shorter or in another language.
