Record how two organisations will work together, who does what and which parts bind them.

Fill it in and preview

Memorandum of Understanding

This memorandum of understanding ("MOU") is made on 7 November 2026 between:

  1. Northfield Community Trust, of 12 Mill Lane, Leeds LS1 4AB, United Kingdom ("the First Organisation"); and
  2. Riverside Technical College, of 80 College Road, Manchester M1 5GH, United Kingdom ("the Second Organisation").

Together they are "the Organisations".

1. Purpose

The purpose of this MOU is to offer work placements and mentoring to young people in the Leeds area who are training for a career in construction.

The Organisations record here how they intend to work together. They have reached this understanding in good faith and will deal with each other openly and respectfully.

2. What the cooperation covers

The Organisations intend to cooperate on the following.

Up to 30 placements a year of 6 to 12 weeks, monthly mentoring sessions, and two joint careers events a year

Nothing in this MOU stops either Organisation from working with others, unless the Organisations later agree otherwise in writing.

3. Roles

The First Organisation will take the following role.

Finds host employers, supervises placements and records each young person's progress

The Second Organisation will take the following role.

Selects and prepares students, keeps their records and gives them time off for placements

4. Contributions

The First Organisation intends to contribute the following.

Two part-time coordinators, meeting space and its network of employers

The Second Organisation intends to contribute the following.

A staff liaison, classroom space and training materials

Each Organisation will tell the other as early as it can if it will not be able to give a contribution it has described.

5. Costs

Each organisation pays its own costs. The joint careers events are paid in equal shares

No Organisation may commit the other to a cost without its written agreement. If the Organisations decide to share money, property or staff in a larger way, they will first sign a separate written agreement for it.

6. Timeline

This MOU starts on 1 January 2027 and, unless it is ended earlier under section 10, ends on 31 December 2028.

First placements start in April 2027
Review of results in December 2027

7. Governance and contacts

The Organisations name these contact persons. Each may replace its contact person by telling the other in writing.

The contact persons will meet every two months, in person or by video call, to review progress, share information and settle practical questions. They may agree small changes in how the cooperation works, and will note them in writing. Each Organisation will take part in good faith, answer messages from the other within a reasonable time, and raise any concern early. Anything that changes the purpose, the roles or the costs needs a written amendment to this MOU signed by both Organisations.

If the contact persons cannot settle a question, they will pass it to the heads of the Organisations, who will meet within 30 days to try to settle it.

8. Confidentiality

8.1 Each Organisation will keep secret any information that the other gives it in connection with this MOU and that is marked confidential or is by its nature confidential. It will use it only for the cooperation, tell it only to staff and advisers who need it and who are bound to keep it secret, and protect it as carefully as it protects its own.

8.2 This does not apply to information that is or becomes public without a breach of this MOU, that the receiving Organisation already knew or learned lawfully from someone else, or that it must disclose by law or at the order of a court or authority. In that last case it will, where the law allows, tell the other Organisation first.

8.3 Personal data is shared only as far as the cooperation needs, and each Organisation will handle it in line with the data protection law that applies to it. If the Organisations will share personal data regularly, they will first sign a data sharing agreement.

8.4 This section continues for 3 years after this MOU ends.

9. Which parts bind

9.1 This MOU records the intentions of the Organisations. Except as stated in section 9.2, it is not a legally binding contract, it creates no partnership, joint venture or agency, and neither Organisation may speak or act for the other.

9.2 Only the following parts are legally binding. Section 8 (Confidentiality), section 9 (Which parts bind), the rule in section 5 that no Organisation may commit the other to a cost, section 10.3 (what happens when this MOU ends), and section 11 (Law and disputes).

9.3 Each Organisation keeps all rights in the names, logos, materials and other intellectual property it brings. Neither may use the other's name or logo in public without written permission, except as the Organisations agree in writing.

Each organisation may name the other as a partner in its annual report.

10. Term and ending

10.1 This MOU runs for the term in section 6. The Organisations may extend it by a written note signed by both.

10.2 Either Organisation may end this MOU early by giving 30 days' written notice to the other. It may do so for any reason. It may also end it at once by written notice if the other Organisation seriously breaches a binding clause, or can no longer carry on its activities.

10.3 When this MOU ends, the Organisations will finish or hand over any work that is already under way in an orderly way, return or delete the other's confidential information when asked, and each bear their own costs. The binding clauses continue as far as they are meant to.

11. Law and disputes

The binding clauses of this MOU are governed by the laws of England and Wales. The Organisations will first try to settle any disagreement about this MOU by discussion in good faith for 30 days after one of them gives written notice of it.

The place for deciding any dispute under this agreement is Leeds. How disputes about the binding clauses are decided

This section applies only to the binding clauses. A disagreement about the non-binding parts is settled by discussion under section 7.

12. Reporting and public statements

The Organisations will each keep simple records of what they do under this MOU, and will share a short written summary of progress at least once a year, with what has been achieved, what has not, and what they suggest changing. Neither Organisation will make a public announcement about this MOU, apart from what the law requires, without first giving the other a chance to read and agree the words, which will not be unreasonably withheld.

13. General

This MOU is the whole understanding of the Organisations on its subject and replaces earlier talks about it. It may be signed in separate copies and electronically, and together they form one document.

Questions people ask

What details does this template ask for?

The form asks for 23 details, starting with First organisation: full name, First organisation: address, Second organisation: full name, Second organisation: address, Purpose of the cooperation. 2 more are optional.

Can I download this template as Word or PDF?

Yes. When you have filled in the form, save it as a Word document to keep editing, or as a PDF to send or print. It is free and needs no account.

Is what I type sent anywhere?

No. What you type stays in your browser while you fill in the document. It only goes to nerix if you choose to open the template in the chat.

What should I check before I use this template?

An MOU is usually a statement of intent, and most of it does not bind the parties. Only the clauses that say so (here confidentiality, costs and disputes) are meant to be binding. Whether a court treats other parts as binding, and whether an MOU with a public body needs approval or registration, depends on the country. If real money, exclusivity or intellectual property is involved, sign a full contract instead, and ask a lawyer to review this one.

Are these company templates free?

Most are. Fill in and download them for free as Word or PDF, with no account. A few longer documents are premium: free to fill in, paid once to download, and marked with their price.

Is a template the same as legal advice?

No. A template is a careful starting point. Company, contract and data protection law differ by country, so have a lawyer read anything that carries real risk before you sign.

Can I change the clauses?

Yes. Download the Word version and edit it, or open the template in the nerix chat and ask for a clause that is stricter, shorter or in another language.
