The Business and the Agent are together "the parties".

1. Definitions

In this agreement:

  • "Products" means the products or services described in section 2.
  • "Territory" means the territory or customers described in section 2.
  • "Customer" means a person or business in the Territory that buys Products.
  • "Order" means a request by a Customer to buy Products, made to the Business or through the Agent.
  • "Net Sales" means the price the Business invoices to a Customer for Products under an Order, without sales tax, shipping and insurance, and after discounts and credit notes.
  • "Confidential Information" means any non-public information about the business, customers, prices, plans or systems of a party that the other party receives because of this agreement.

2. Appointment, Products and Territory

The Business appoints the Agent to find Customers for the Products in the Territory, to promote the Products to them, and to negotiate and pass on Orders for the Business, on the terms of this agreement. The Agent accepts the appointment.

Products or services: The Alder range of olive oils and sauces on the current price list.

Territory or customers: France and Belgium, restaurants and delicatessens

Exclusive or not

The Business may add Products or change them by telling the Agent in writing. It may not take Products out of the agreement, or reduce the Territory, without the Agent's written consent, except where the Business stops making a Product or the law requires it.

3. Status of the Agent

The Agent is an independent business. It is not an employee, partner or joint venturer of the Business, and nothing in this agreement makes it one. The Agent decides how, where and when it works, within the limits of this agreement. The Agent pays its own staff, taxes, insurance and social contributions, and uses its own premises and equipment.
