Sponsorship Agreement
This agreement is made on 7 November 2026 between:
- Aurora Beverages Ltd, of 27 Queen Street, Auckland 1010, New Zealand ("the Sponsor"); and
- Harbour City Running Club, of Clubhouse, Marine Parade, Wellington 6011, New Zealand ("the Property Owner").
The Property Owner runs the event, team or channel described below. The Sponsor wishes to support it and be linked with it, and the Property Owner agrees to give the Sponsor the benefits described below. They agree as follows.
1. Words used in this agreement
- "Property" means the Harbour City Half Marathon, held each year in Wellington, including its race expo, website, social media accounts and race-day clothing.
- "Period" means Sunday 14 March 2027 and the build-up from 1 December 2026.
- "Level" means the sponsorship level named Gold sponsor.
- "Sponsor Marks" means the Sponsor's names, trade marks and logos that it gives to the Property Owner under this agreement.
- "Property Marks" means the names, trade marks and logos of the Property, and the Property Owner's own.
- "Category" means sports drinks and bottled water.
2. The sponsorship
2.1 The Property Owner appoints the Sponsor as a sponsor of the Property at the Level for the Period. The Sponsor accepts.
2.2 The sponsorship applies to the Period, and to the following place or area: New Zealand.
2.3 The Property Owner will run the Property with proper care, in line with the law and good practice, and will make sure that it has the licences, permissions, insurance and rights it needs to run the Property and to give the benefits.
2.4 The Sponsor is a supporter of the Property, not its owner, organiser or partner in business. It has no say over how the Property is run, except as this agreement states. Neither party can sign for the other.
3. Fee and contributions
3.1 The Sponsor will pay the Property Owner a fee of NZD 25,000.
3.2 The fee will be paid as follows:
50% on signing, 30% on 1 February 2027 and 20% within 14 days after the event
3.3 In addition, the Sponsor will give this in-kind contribution: 2,000 bottles of sports drink for the race day and 12 branded drink stations, with a value of NZD 6,000.
3.4 In-kind contributions are given at the value agreed in this agreement. The Sponsor stays responsible for the quality and the safety of what it gives, and the Property Owner will use it only for the Property and as agreed.
3.5 The Property Owner will send an invoice for each payment at least 14 days before it is due, and the Sponsor will pay within 14 days of receiving it, or on the due date if later. Sums not paid on time carry interest at 4% a year above the base rate of the central bank of the country of the currency of payment, to the extent the law allows.
3.6 The fee does not include sales tax, value added tax or similar tax. If the law adds such a tax to the fee, the Sponsor will pay it in addition against a proper tax invoice.
4. Benefits
4.1 The Property Owner will give the Sponsor these benefits:
| Benefit | What the sponsor gets |
|---|---|
| Logo placement | Logo on the front of the race shirt, on the finish line arch and on the home page of the event website |
| Mentions | Naming as "Gold sponsor" in 6 social posts and in the start and finish announcements |
| Tickets and hospitality | 20 race places and 10 places in the hospitality tent |
| Stand | A 3 by 3 metre stand at the race expo |
4.2 The Property Owner will give the Sponsor's benefits in good time and to a standard at least as good as it gives to any other sponsor at the same Level or lower. The Sponsor's logo will be placed at least as prominently as that of any other sponsor at the same Level or lower.
4.3 Tickets and hospitality are for the Sponsor's guests, employees and customers, and may not be sold. The Sponsor will make sure that its guests follow the rules of the venue and of the Property.
4.4 If the Property Owner cannot give a benefit, it will tell the Sponsor promptly and, if the Sponsor agrees, give a fair equal benefit instead. If it cannot, the Sponsor may claim a fair part of the fee back, based on the value of the benefit not given.
5. Exclusivity
5.1 For the Period, the Property Owner will not give any other person, business or brand the right to be a sponsor, supplier or partner of the Property for goods or services in the Category, and will not allow anyone else to advertise in the Category at or in connection with the Property.
5.2 The Property Owner will not give another sponsor rights that overlap with the Sponsor's benefits in a way that suggests that the other sponsor is the main sponsor in the Category.
5.3 This exclusivity does not stop the venue, a league, a broadcaster or an organisation that controls the Property from having its own sponsors, if the Property Owner has no power to prevent it. The Property Owner will tell the Sponsor about this as soon as it knows of it, and will do what it reasonably can to protect the Sponsor.
6. Use of marks and approval of material
6.1 The Property Owner gives the Sponsor a non-exclusive licence, for the Period and in connection with the sponsorship, to use the Property Marks to say that it is a sponsor of the Property, in the ways stated in this agreement.
6.2 The Sponsor gives the Property Owner a non-exclusive licence, for the Period and in connection with the sponsorship, to use the Sponsor Marks to give the benefits and to say that the Sponsor is a sponsor of the Property.
6.3 Each party will use the other's marks only as the other's written guidelines say, will not change them, and will not use them in a way that suggests the other approves something beyond the sponsorship.
6.4 Before first use, each party will send the other any material that uses the other's marks. The other party will approve it, or say why it refuses, within 5 working days. Silence after a reminder is not approval. A party may use material again, in the same form, after it has been approved once.
6.5 All rights and goodwill in each party's marks stay with that party. When the sponsorship ends, each party stops using the other's marks, except for material already published in the past and printed material that cannot be recalled.
7. Conduct and the sponsor's good name
7.1 Each party will do nothing that brings the other, or the Property, into serious public disrepute.
7.2 If, during the Period, the Property Owner, or any person who represents the Property such as an athlete, performer or creator, does anything that in the reasonable opinion of the Sponsor is seriously offensive, unlawful or likely to harm the Sponsor's reputation, such as a crime, discrimination, a doping offence or a serious scandal, the Sponsor may, after talking with the Property Owner, suspend its benefits and payments or end this agreement by written notice. The Sponsor may recover a fair part of the fee for the time that remains.
7.3 If the Sponsor, or anyone who represents it, does anything that in the reasonable opinion of the Property Owner is seriously offensive, unlawful or likely to harm the Property's reputation, or if the Sponsor's business or products are made unlawful or are banned by the rules of the Property, the Property Owner may end this agreement by written notice after talking with the Sponsor. The fee paid stays with the Property Owner for the benefits already given.
7.4 Each party will follow the advertising, anti-bribery, sanctions and data protection laws that apply to it. Neither party will give an improper advantage to anyone in connection with this agreement. Each party will disclose the paid relationship clearly wherever the law requires.
8. Postponement and cancellation
8.1 If the Property is postponed: The sponsorship moves to the new date, and the Sponsor may end it and receive a refund if the new date is more than 6 months after the original date.
8.2 If the Property is cancelled, or is shortened or changed in a way that takes away much of the value of the benefits, because of a cause outside the Property Owner's control, such as severe weather, an emergency, a public order, an illness or a strike, the Property Owner will tell the Sponsor promptly. The Property Owner will then refund the whole fee paid, less costs already spent on the Sponsor's benefits that were delivered within 30 days, and neither party owes the other anything else.
8.3 If the Property is cancelled for any other reason, the Property Owner will refund the whole fee and the Sponsor's in-kind contribution that has not been used, within 30 days, and will pay the Sponsor's reasonable and proved costs of material that has been made for the sponsorship.
9. Reporting and review
9.1 The Property Owner will give the Sponsor: a written report within 30 days after the event with the number of runners, the audience of the web and social posts and photographs of the sponsor's logo in use.
9.2 The parties will meet, in person or online, as the Sponsor reasonably asks, to talk about how the sponsorship is going and how to improve it.
10. Confidentiality
Each party will keep secret the terms of this agreement, and the other's confidential information, and will use it only for this agreement. This does not stop either party from saying that the Sponsor sponsors the Property, from telling its advisers, insurers and the authorities, or from disclosing what the law requires.
11. Liability and insurance
11.1 Nothing in this agreement limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law does not allow to be limited.
11.2 Subject to section 11.1, neither party is liable to the other for loss of profit, loss of business or indirect loss, and each party's total liability to the other under this agreement is limited to the fee, except for the Property Owner's duty to refund under section 8 and each party's duty under section 11.3.
11.3 Each party will compensate the other against third-party claims that arise from its own marks, material or conduct that break the law or another person's rights.
11.4 The Property Owner will keep public liability insurance for the Property for the Period, with a sum insured that suits an event or activity of that size, and will give the Sponsor a certificate on request.
12. Ending the agreement
12.1 The agreement continues until the end of the Period and the delivery of the benefits and report, unless it ends sooner under this section or section 7 or 8.
12.2 Either party may end this agreement at once by written notice if the other:
- commits a serious breach and, if it can be put right, does not put it right within 14 days of written notice; or
- becomes insolvent, enters bankruptcy or a similar process, or stops doing business.
12.3 If the Sponsor ends this agreement because of the Property Owner's breach, the Property Owner will refund the part of the fee that is for benefits not given. If the Property Owner ends it because of the Sponsor's breach, the Sponsor will pay the fee that is due, and the Property Owner may keep fees already paid.
12.4 Sections 6.5, 8, 10, 11, 12 and 13 continue after the end.
13. General
- This agreement is the whole agreement between the parties about the sponsorship. It replaces everything said or written earlier, and may be changed only in writing signed by both parties.
- Neither party may transfer this agreement without the other's written consent.
- If any part of this agreement cannot be enforced, the rest remains in effect.
- A party that does not use a right straight away has not given it up.
- This agreement may be signed in separate copies and electronically, and together they form one agreement.
14. Governing law and disputes
This agreement, and any dispute that arises from it, is governed by the laws of New Zealand. The parties will first try to settle any dispute by discussing it in good faith for 30 days after one of them gives written notice of it.
The place for deciding any dispute under this agreement is Wellington. How disputes are decided
