Settlement agreement

This agreement is made on 10 November 2027 between:

  1. Northgate Building Ltd, of 5 Market Street, Dublin, D02 XY12, Ireland; and
  2. Aisha Karimi, of 42 Willow Road, Dublin, D06 AB34, Ireland

(each a "Party" and together the "Parties").

1. Background

The Parties have had a dispute (the "Dispute"). In short:

A disagreement over the quality of, and payment for, the roof repair carried out at 42 Willow Road in May 2027.

Claims, complaints or cases already started about the Dispute: Aisha Karimi's written complaint of 3 June 2027 to the trade body, and her letter before claim of 20 July 2027.

The Parties want to end the Dispute fully and finally, without any court case or other formal process, and without any admission, on the terms of this agreement. Each Party confirms that it has had the chance to take independent advice on this agreement, that it understands it, and that it signs it freely.

2. Settlement payment

Northgate Building Ltd (the "Payer") will pay Aisha Karimi (the "Payee") EUR 3,200 (the "Settlement Sum"), as a full and final settlement of the Dispute, by 30 November 2027.

Payment is made in these instalments, the last by the date above: EUR 1,600 by 15 November 2027 and EUR 1,600 by 30 November 2027.

The Payer will pay the Settlement Sum in cleared funds, in full and without set-off or deduction,

Bank account for the payment, or another account the Payee names in writing: Account name Aisha Karimi, IBAN IE29 AIBK 9311 5212 3456 78

The Settlement Sum is not a payment for the work or services of anyone, and is not a payment of salary, unless this agreement says so. If the law requires the Payer to deduct tax or social contributions from any part of it, the Payer will deduct them, will pay them to the authority, and will give the Payee proof of the payment. Each Party is responsible for its own taxes on what it pays or receives. If a tax authority later asks the Payee for tax on the Settlement Sum, the Payee will tell the Payer at once, and the Parties will cooperate, but the Payer is not responsible for the Payee's own taxes.

3. Other things the Parties will do

Each Party will do what it reasonably can to carry out this agreement, and will sign any document that is needed for it.

Each Party will also do the following, by the dates stated: Northgate Building Ltd will repair the leaking gutter at no charge by 15 December 2027.
Aisha Karimi will withdraw her complaint to the trade body.

What should I check before I use this template?

A settlement can give up legal rights. Some places require independent legal advice, special wording or a time to think before it binds, especially when one party is an employee or a consumer, and some claims cannot be given up at all. Tax on the payment depends on its nature and on the place. Have a lawyer read it before you sign. This is not legal advice.

Are these company templates free?

Most are. Fill in and download them for free as Word or PDF, with no account. A few longer documents are premium: free to fill in, paid once to download, and marked with their price.

Is a template the same as legal advice?

No. A template is a careful starting point. Company, contract and data protection law differ by country, so have a lawyer read anything that carries real risk before you sign.

Can I change the clauses?

Yes. Download the Word version and edit it, or open the template in the nerix chat and ask for a clause that is stricter, shorter or in another language.
