Intellectual Property Assignment Agreement

This agreement is made on 1 December 2026 between:

  1. Lucia Fernandez, of 14 Calle del Sol, 28012 Madrid, Spain ("the Creator"); and
  2. Brightwater Analytics Ltd, of 20 Harbour Street, Dublin D02 AB12, Ireland ("the Company").

1. Definitions

In this agreement:

  • "the Work" means the logo, the brand guidelines and the website designs created for the company between 1 June and 30 October 2026, including all drafts and source files, and every copy, version, draft, part and derivative of it that the Creator has made or makes before the Work is delivered to the Company;
  • "Rights" means all intellectual property rights and similar rights anywhere in the world, whether registered or not, including copyright and related rights, design rights, rights in software and source code, database rights, patents and the right to apply for them, trade marks and goodwill, rights in confidential information and know-how, and all applications, renewals and extensions of any of them;
  • "Excluded Materials" means the materials described in section 7.

How the Work was created: under the freelance agreement dated 25 May 2026

2. Assignment

2.1 In return for the payment in section 4, the Creator assigns to the Company, with full ownership and free of any charge or claim of others, all Rights in the Work, for their full term including any renewal or extension, in every country.

2.2 The assignment includes the right to bring a claim for any infringement of the Rights that happened before or happens after the date of this agreement, and to keep what is recovered.

2.3 The assignment covers Rights that already exist and, as far as the law allows, Rights that come into existence later in the Work. To the extent that the law does not allow a future Right to be assigned in advance, the Creator agrees to assign it to the Company when it arises, and holds it for the Company until then.

2.4 The Company may use, copy, change, adapt, translate, publish, sell, license and transfer the Work, in any form or medium, with or without naming the Creator, without further permission or payment.

2.5 If any part of the assignment is not valid under the law of a country, the Creator grants the Company, for that part and that country, an exclusive, worldwide, permanent, irrevocable, transferable licence with the right to sub-license, to the fullest extent the law allows, and the Creator will not use that Right against the Company or anyone who uses the Work with its permission.

3. Delivery

The Creator will hand over to the Company, within 7 days after the effective date or earlier if the Company asks, all copies of the Work in every form the Creator holds, including source files and the information needed to use, edit and maintain it. After that the Creator will keep no copy unless the Company allows it in writing.

4. Payment

4.1 The Company will pay the Creator EUR 4,500, paid within 14 days of signing for this assignment.

4.2 The Creator confirms that this payment, together with any payment due under any other agreement about the Work, is full payment for the Rights assigned and for the handover of the Work, and that no royalty or other sum is due for later use.

4.3 Any tax that the Creator owes on the payment is the Creator's responsibility. The Company may deduct tax from the payment only where the law requires it, and will then give the Creator proof of what it paid to the tax authority.

Questions people ask

What details does this template ask for?

The form asks for 14 details, starting with Creator (the assignor): name, Creator: address, Company receiving the rights (the assignee): name, Company: address, Effective date. 3 more are optional.

How much does this template cost?

€9.99, paid once. Filling it in and seeing the first part is free. You pay when you download the finished Word document and PDF, with no account and no subscription. Every paid nerix plan includes it.

Can I download this template as Word or PDF?

Yes. When you have filled in the form, press Download and pay once. You get the finished document as a Word file to keep editing and as a PDF to send or print, and the link by email.

Is what I type sent anywhere?

While you fill it in, what you type stays in your browser. When you buy the document, your answers go to nerix to make your files. They are kept for seven days so you can download again, then deleted.

What should I check before I use this template?

Intellectual property law differs by country. In some places a copyright transfer must be in writing and signed, patents and trade marks may need the transfer to be registered, future works may not be assignable in advance, and the author's moral rights cannot be given away at all. Employees' work is often owned by the employer without any assignment. Check the law where the work is made and used, and have a lawyer review it for valuable rights.

Are these company templates free?

Most are. Fill in and download them for free as Word or PDF, with no account. A few longer documents are premium: free to fill in, paid once to download, and marked with their price.

Is a template the same as legal advice?

No. A template is a careful starting point. Company, contract and data protection law differ by country, so have a lawyer read anything that carries real risk before you sign.

Can I change the clauses?

Yes. Download the Word version and edit it, or open the template in the nerix chat and ask for a clause that is stricter, shorter or in another language.
