Fill it in and preview

Influencer Agreement

This agreement is made on 7 November 2026 between:

  1. Verde Skincare GmbH, of Torstrasse 45, 10119 Berlin, Germany ("the Brand"); and
  2. Lena Marques, of Rua Augusta 210, 1100-053 Lisbon, Portugal ("the Creator").

The Brand wishes to work with the Creator to promote the launch of the Verde Daily Defence sunscreen range (the "Campaign"), and the Creator agrees to make and post content for the Brand, on the terms below.

1. Definitions

In this agreement:

  • "Accounts" means the Creator's accounts: Instagram @lenamarques and TikTok @lenamarques.
  • "Content" means the posts, videos, images, captions, audio and other material that the Creator makes for the Campaign under section 2.
  • "Posts" means the Content when it is posted on the Accounts.
  • "Fee" means the fee in section 7.
  • "Licence" means the licence in section 9.
  • "Platform" means each social media service where the Content is posted.

2. Deliverables

The Creator will make and post the following Content:

1 Instagram Reel of 30 to 60 seconds, 3 Instagram Stories with a link, and 1 TikTok video of 30 to 45 seconds, each showing the product being used.

The Creator will follow this brief:

Show the product in daily use, mention SPF 50 and that it is fragrance free, tag @verdeskincare, and use the hashtag #VerdeDaily.

The Content must be original, made by the Creator, and must meet the Platform's rules and the law. The Creator is free to use their own style, voice and creative judgement, so that the Content looks natural for their audience, within the brief.

3. Schedule

Draft by 3 May 2027, approval by 7 May, and the posts go live between 10 and 14 May 2027.

The Creator will keep to these dates. If either side cannot, it will tell the other at once and the parties will agree a new date in writing. The Brand is responsible for delays in giving products, information or approvals, and the dates move by the same time. The Posts will remain live on the Accounts for at least 12 months and the Creator will not delete, hide or archive them, or change a caption, in that time without the Brand's agreement, except as section 13 requires.

4. Approval of Content

  • The Creator will send each item of Content to the Brand for approval before posting.
  • The Brand will approve the item, or ask for changes in writing, within 3 working days. If the Brand does not reply in that time, the Creator may send a reminder, and the item is treated as approved 2 working days after the reminder.
  • The Brand may ask for changes only if the Content does not match the brief, is not accurate, breaks the law or a Platform rule, or harms the Brand's reputation. The Creator will make the changes in up to 2 rounds. Further rounds need the Creator's agreement and may be charged at a fair rate.
  • The Brand may not require the Creator to say anything that the Creator does not believe, or to make a claim that the Creator knows or believes is untrue.
  • The Creator will not post any Content that the Brand has not approved. Approval does not remove the Creator's responsibility for the Content.

5. Honest opinions and claims

  • The Creator will give their own honest views and describe the experience they have had with the product or service. The Creator is not asked to give a view that is not their own.
  • The Creator will only make claims about the product that the Brand has given to the Creator in writing and that the Brand confirms it can prove. The Brand will give the Creator accurate information, including any health, safety, ingredient, price or offer claims, and any legal wording the law requires.
  • The Creator will not make claims about medical, health, financial or similar effects that the Brand has not supplied. The Brand will tell the Creator of any rules that apply to its products, for example for cosmetics, food, alcohol, gambling or financial products.

6. Disclosure of the paid relationship

  • The law and the rules of the Platforms require that the people who see a Post can tell that it is advertising. The Creator will clearly disclose the relationship with the Brand in each Post, in a way that cannot be missed and that is placed where the audience will see it without opening more text, as the law and the Platform rules require.
  • The Creator will use the following: The platform's paid partnership label and the words 'Ad' or 'Paid partnership' at the start of the caption or in the video, together with the Platform's own tool for labelling paid partnerships, where one exists, and will do so in the language of the Post.
  • The disclosure is needed for free products, discounts and other benefits as well as payment, and applies to Stories, live videos and videos in the same way as to other Posts.
  • The Brand will not ask the Creator to remove or hide a disclosure, and will take reasonable steps to make sure that the Creator's disclosure is not removed from any reposting or boosting the Brand does.
  • Each side will keep to the advertising law and the rules of the authority that apply where the Content is aimed. The Creator will tell the Brand if the law requires anything more, for example in another country.

7. Fee and payment

The Brand will pay the Creator a total fee of EUR 3,500 for the Content, the Posts and the Licence.

Payment: 50% on signing and 50% within 14 days after the last post goes live. The Creator will send an invoice, and the Brand will pay it by bank transfer or the means agreed, in full, without deduction, and, unless the parties agree otherwise, in the currency of the Fee. The Creator is responsible for its own taxes, social contributions and insurance. If the law requires the Brand to withhold tax, the Brand will do so only to that extent and will give the Creator a receipt.

A gift set of the range worth EUR 120, which the creator may keep.

Pre-approved props and travel, at cost, with receipts.

The Brand will pay the Fee even if the Posts are not as successful as it hopes. If the Brand does not approve or cancels the Campaign without a fault of the Creator, it will pay the Creator for the work already done and a fair share of the Fee for the work that was planned.

8. Ownership of the Content

The Creator owns the copyright and other rights in the Content, and in the Accounts, name, voice, image and likeness, subject to the Licence. The Brand owns its own trade marks, logos, products and materials, and gives the Creator a limited licence to use them in the Content during the Campaign and to keep the Posts live as in section 3.

9. Licence to use the Content

The Creator gives the Brand a non-exclusive licence to use, copy, display and share the Content, with the Creator's name, handle and approved image, in the following ways:

On the brand's own website and social accounts, in its newsletters, and in paid social advertising (boosting the creator's posts or running them as ads), but not in print, television or outdoor advertising.

The Licence lasts for 12 months from the first post and covers the following area: worldwide. The Brand will credit the Creator when it shares the Content, where the format allows it.

Any other use, for example for longer, in other media, or by changing the Content so that it creates a different message, needs the Creator's written consent and may need a further fee. The Brand may not make the Content look as though the Creator endorses anything other than the product or service in the Campaign. After the Licence ends, the Brand will stop new uses of the Content, and will remove it from its paid advertising. It does not have to remove past organic posts from its feed or earlier archives.

If the Brand uses the Content in paid advertising through the Creator's Account, the Creator will give the Brand the access that the Platform's tools require, and the Brand will use it only for the Campaign.

10. Exclusivity

The creator will not make paid content for another sun care or skin care brand from 2 weeks before until 4 weeks after the first post.

Except as stated above, the Creator is free to work with other brands, including competitors of the Brand, as long as the Creator does not suggest a link with the Brand when doing so.

11. Reporting

The Creator will give the Brand the following information about the performance of the Posts: Screenshots of views, reach, likes, comments, saves and link clicks at 7 days and 30 days after each post. The Creator will give the information from the Platform's own data, and the Brand will use it only for the Campaign. The Brand will not require the Creator to provide personal data about members of its audience. Neither side promises any particular result, such as a number of views, followers or sales.

12. Conduct and reputation

  • The Creator will not, during the time the Posts are live, do or say anything in public, on the Accounts or elsewhere, that is unlawful or that brings the Brand into serious public disrepute, for example hate speech, threats, serious dishonesty, or sexual or violent content that is unlawful. The Creator remains free to express lawful opinions on matters unrelated to the Brand.
  • The Brand will not ask the Creator to say anything unlawful, or to make a statement that denigrates others. The Brand will treat the Creator with respect, and will not publicly criticise the Creator for the Content that it approved.
  • If a serious event happens that, in the Brand's reasonable opinion, makes continued association with the Creator unwise, the Brand may suspend the Campaign and ask for the Posts to be removed under section 13. If the cause was a breach of this section by the Creator, the Brand may stop paying any part of the Fee not yet paid for work not yet done. If it was not, the Brand will pay the Creator for work already done.
  • If the Brand does something that seriously damages the Creator's reputation, for example by a scandal about the Brand that is linked to the products, the Creator may end this agreement and remove the Posts, and the Brand will pay for work done.

13. Takedown

  • The Brand may ask the Creator in writing to remove or change a Post if it is inaccurate, becomes unlawful or unsafe, breaches Platform rules, or if the product is recalled or its claims change. The Creator will do so within 2 working days.
  • The Creator may ask the Brand to remove any use of the Content that is outside the Licence, or after the Licence ends, and the Brand will do so within the same time.
  • Each side will remove content in reply to an order of a court, a regulator or a Platform.
  • If a Post is removed under this section at no fault of the Creator, the Creator keeps the Fee, and the parties will talk in good faith about a replacement Post.

14. Promises of each side

Each side promises that it has the right to sign this agreement and to give the rights in it.

The Creator promises that the Content will be the Creator's own work, apart from material that the Brand gives or that the Creator has the right to use (such as licensed music); that it will not infringe the rights of anyone else or be defamatory; that the Accounts are genuine, and that the Creator has not bought followers, likes or views, and will not do so; and that the Creator will not use or ask for fake reviews or engagement.

The Brand promises that the product, claims and materials it gives the Creator are lawful and accurate, that it has the right to give them to the Creator, and that the Creator's use of them as the brief says will not infringe the rights of anyone else. The Brand will repay the Creator for claims by others about the Brand's product, materials and instructions, if the Creator used them as the brief says.

15. Confidentiality and data

Each side will keep the terms of this agreement and the other's non-public information, such as unreleased product details and the Fee, confidential, until the information is public, except where it must be disclosed to advisers, to tax authorities, or by law. Where either side handles personal data, such as contact details of the other's staff or, for a competition or giveaway, of the Creator's audience, it will do so as the data protection law that applies requires.

16. Limit of liability

Nothing in this agreement limits or excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that the law does not allow to be limited. Subject to that, neither side is liable to the other for loss of profit or for indirect or consequential loss, and the total liability of each side to the other under this agreement, other than the Brand's duty to pay the Fee, is limited to the Fee.

17. Term and ending

  • The agreement starts on the date at the top and continues until the Posts have been live for the time in section 3 and the Fee has been paid, unless it is ended earlier.
  • Either side may end it by written notice if the other commits a serious breach and does not put it right within 7 days after a written request, or becomes insolvent.
  • If the Brand ends it for the Creator's breach, the Brand pays only for Content that has been posted and meets the brief. If the Creator ends it for the Brand's breach, the Brand pays the Creator for the work done and the Fee for Content that has been made.
  • Sections 8, 9, 13, 15, 16 and 18 continue after the agreement ends.

18. Disputes and the law

This agreement is governed by the laws of Germany.

If there is a disagreement, the parties will first try to settle it by talking, starting with a written note that says what the disagreement is. If they cannot settle it within 30 days, either side may take it further as follows.

The place for deciding any dispute under this agreement is Berlin. How disputes are decided

Either side may ask a court anywhere for an urgent order to protect its rights while a dispute is decided.

19. General

  • This agreement is the whole agreement between the parties about the Campaign and replaces anything said or written before. It may be changed only in writing signed by both parties.
  • The Creator is an independent contractor and not an employee, partner or agent of the Brand, and decides how and when to make the Content within the schedule. The Creator may not bind the Brand.
  • Neither side may transfer its rights or duties under this agreement without the written consent of the other.
  • Notices must be in writing and may be sent by email to the address each side last gave the other.
  • If any part of this agreement cannot be enforced, the rest stays in effect. A side that does not use a right straight away has not given it up.
  • It may be signed in separate copies and electronically, and together they form one agreement.

Questions people ask

What details does this template ask for?

The form asks for 27 details, starting with Brand: name, Brand: address, Creator: name, Creator: address, Creator's accounts. 3 more are optional.

Can I download this template as Word or PDF?

Yes. When you have filled in the form, save it as a Word document to keep editing, or as a PDF to send or print. It is free and needs no account.

Is what I type sent anywhere?

No. What you type stays in your browser while you fill in the document. It only goes to nerix if you choose to open the template in the chat.

What should I check before I use this template?

Advertising and consumer law in most countries, and the rules of each platform, require a creator to disclose clearly when a post is paid or has been given free products, and make both the brand and the creator responsible for misleading claims. Rules also differ on health, finance, alcohol, gambling and posts aimed at children. Check the rules where your audience lives and use the platform's own paid partnership tool.

Are these contract templates free?

Most are. You can fill in and download them for free as Word or PDF, with no account. A few long business agreements are premium: free to fill in, paid once to download, and marked with their price.

Is a template contract legally valid?

A signed agreement is usually valid when both sides understand and accept it, but rules differ by country and by type of contract. Treat a template as a careful starting point and check what applies where you are.

Do I need a lawyer to use a template?

For simple, low risk agreements many people do not. For large sums, property, employment disputes or anything unusual, ask a lawyer to review the draft first.

Can I change the terms?

Yes. Download the Word version and edit it, or ask nerix in the chat to make a clause stricter, shorter or in another language.
