Statement of Work
Date: 18 October 2026
This statement of work ("SOW") is made under the The agreement this SOW falls under, with its date (the "Agreement") between:
- Client (the "Client"); and
- Supplier (the "Supplier"),
each a "Party" and together "the Parties".
The Agreement applies to this SOW, and words defined in the Agreement have the same meaning here. If this SOW and the Agreement conflict, the Agreement prevails, unless this SOW expressly names the clause of the Agreement that it changes.
1. Scope
Scope of the work
The Supplier will carry out the work described in this section (the "Services") and provide the deliverables in section 2. Anything not described in this SOW is outside its scope.
2. Deliverables
| Deliverable | Due date |
|---|---|
| Deliverable 1 | Deliverable 1: due date |
3. Timeline
Timeline
The due dates depend on the Client providing information, access and feedback on time. If a delay by the Client holds up the work, the affected dates move by the length of that delay, or by another period the Parties agree in writing.
4. Acceptance
Each deliverable must meet these acceptance criteria:
Acceptance criteria
The Supplier will tell the Client when each deliverable is ready. Within Time the client has to review each deliverable of that notice, the Client will either accept the deliverable in writing or tell the Supplier in writing how it fails to meet the acceptance criteria. The Supplier will then correct those points and resubmit the deliverable, and the same steps apply again. A deliverable is treated as accepted if the Client does not reject it, with reasons, within Time the client has to review each deliverable, or if the Client starts using it in its live operations.
5. Fees and invoicing
Fees and invoicing
Unless the Agreement says otherwise, the fees do not include taxes, which are added at the rate that applies, and expenses are charged only if the Client approves them in writing in advance.
6. Change requests
Either Party may ask to change this SOW by sending a written change request that describes the change. The Supplier will then set out in writing how the change affects the scope, the dates and the fees. A change takes effect only when both Parties have agreed to it in writing. Until then, the Supplier continues to work under this SOW as it stands.
