Freelance Service Agreement
This agreement is made on 18 October 2026 between:
- Client: name, of Client: address ("the Client"); and
- Freelancer: your name or business, of Freelancer: your address ("the Freelancer").
1. The work
The Freelancer will do the following work for the Client:
The work you will do
2. Deliverables
The Freelancer will deliver:
What the client will receive
Anything not described in sections 1 and 2 is outside this agreement. Extra work will be agreed in writing, with its own price and timing, before it starts.
3. Timeline
Timeline
The Freelancer will tell the Client promptly about anything likely to cause a delay. Dates that depend on the Client's materials, feedback or approvals move back by the time the Client takes to provide them.
4. Fee and payment
The fee for the work is Total fee. The Client will pay as follows: When the client pays.
The fee includes all of the Freelancer's expenses unless the Client agrees otherwise in writing. Any VAT, GST or sales tax is added to invoices where the law requires it. If an invoice is still unpaid 14 days after its due date, the Freelancer may pause the work until it is paid.
5. Revisions
The fee includes Revisions included of revisions to the deliverables. A round is one set of changes that the Client sends together and that stays within the agreed work. Further rounds, and changes to the work itself, are charged separately as agreed in writing.
6. Who owns the work
- Once the Client has paid the fee in full, the Freelancer transfers to the Client all rights, including copyright, in the final deliverables. Until then those rights stay with the Freelancer, and the Client may use drafts only to review them.
- The Freelancer keeps the rights in the tools, templates, code, know-how and other materials the Freelancer owned before this agreement or created separately from it. Where any of these are part of the deliverables, the Freelancer gives the Client a permanent, non-exclusive, worldwide licence to use them as part of the deliverables.
- Materials from others, such as fonts, stock images or open-source software, are used under their own licences, which the Freelancer will tell the Client about.
- The Freelancer may show the finished work in a portfolio once it is public, unless the Client objects in writing.
7. Confidentiality
Each party will keep confidential any non-public information it receives from the other under this agreement, and use it only for this agreement. This duty continues after the agreement ends. It does not cover information that is or becomes public through no fault of the party that received it.
8. Independent contractor
The Freelancer works as an independent contractor, not as an employee, decides how and where to do the work, and is responsible for the Freelancer's own taxes, insurance and social contributions.
9. Liability
Neither party is liable to the other for indirect losses, such as lost profits. The Freelancer's total liability under this agreement is limited to the fee, except where the law does not allow such a limit.
10. Ending the agreement
Either party may end this agreement by giving the other Notice to end the agreement of written notice. Either party may end it at once, by written notice, if the other seriously breaches it and does not put the breach right within 7 days of being asked to.
If the agreement ends early, the Client pays for the work done up to the end date and the Freelancer hands that work over, with the rights in section 6 passing on payment. Sections 6, 7 and 9 continue after the agreement ends.
11. General
This agreement is the whole agreement between the parties about the work. It may be changed only in writing signed by both parties. If any part of it cannot be enforced, the rest stays in effect. It may be signed in separate copies and electronically.
12. Governing law
This agreement is governed by the laws of Country or state whose law applies. The parties will first try to settle any dispute by talking in good faith. If that fails, the courts of Country or state whose law applies have jurisdiction.
