Sales Agreement
This agreement is made on 18 October 2026 between:
- Seller: name, of Seller: address ("the Seller"); and
- Buyer: name, of Buyer: address ("the Buyer").
1. The goods
The Seller will sell, and the Buyer will buy, the following goods (the "Goods"):
| Goods | Price |
|---|---|
| Goods, row 1 | Price, row 1 |
| Total price | Total price |
The Goods will match the description above and any sample or specification that the parties have agreed in writing.
2. Price
The prices above are fixed and include packaging. Unless the total says otherwise, they do not include VAT or other sales tax, which is added at the rate the law requires. Transport costs are paid as set out in section 4.
3. Payment
The Buyer will pay the total price as follows: When and how the Buyer pays.
The Seller will issue an invoice for each payment. If the Buyer pays late, the Seller may, after giving written notice, hold back delivery of any Goods not yet delivered until the payment is made, and may claim any interest or compensation for late payment that the governing law allows.
4. Delivery
Delivery: where, and who transports the goods
Delivery, or collection by the Buyer, will take place on or before Latest delivery date, at a time the parties agree. The Seller will pack the Goods so that they arrive undamaged with normal handling.
If the Seller expects to be late, it will tell the Buyer promptly and give a new date. If delivery is more than 14 days late for a reason that is not the Buyer's fault, the Buyer may cancel the purchase of the Goods not yet delivered by written notice, and the Seller will refund what the Buyer has paid for them within 14 days.
If the Buyer does not take delivery on the agreed date without good reason, the Seller may charge the reasonable cost of storing the Goods until they are delivered.
5. Risk and ownership
The risk of loss of or damage to the Goods passes to the Buyer when they are delivered under section 4, or, if the Buyer does not take delivery on the agreed date without good reason, on that date.
Ownership of the Goods passes to the Buyer when the Seller has received the full price. Until then, the Buyer will keep the Goods in good condition, insured and identifiable as the Seller's property, and will not sell, pledge or otherwise dispose of them.
6. Inspection
The Buyer will inspect the Goods within 7 days after delivery and tell the Seller in writing about any shortage, damage, visible defect or other failure to match this agreement. The Seller will, at its own cost and within a reasonable time, make up any shortage and repair or replace the affected Goods, including any transport needed.
If the Buyer does not report a visible problem within those 7 days, the Goods are treated as accepted. This does not affect the warranty in section 7 for defects that could not reasonably be seen on inspection.
7. Warranty
The Seller promises that, on delivery, the Goods:
- match their description in this agreement and any agreed sample or specification;
- are of satisfactory quality and fit for their usual purpose, and for any particular purpose that the Buyer told the Seller about in writing before signing;
- are free from defects in materials and workmanship; and
- belong to the Seller, free of any claim, charge or debt in favour of anyone else.
If a defect covered by this warranty appears within How long the warranty lasts, and the Buyer tells the Seller in writing within a reasonable time after finding it, the Seller will repair or replace the faulty Goods free of charge. If neither is possible within a reasonable time, the Seller will refund the price of the faulty Goods once they are returned.
The warranty does not cover fair wear and tear, or damage caused by misuse, accident or neglect, by not following the Seller's written instructions, or by repairs or changes made by anyone other than the Seller without its approval.
8. Limits of liability
Apart from the promises in this agreement and any that the law does not allow to be excluded, the Seller gives no other promise about the Goods.
Neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue or business, arising from this agreement. Each party's total liability arising from this agreement is limited to the total price, except for the Buyer's duty to pay the price.
These limits do not apply to liability for death or personal injury caused by negligence, to fraud, to the promise about ownership in section 7, or to any other liability that the law does not allow to be limited. If the Buyer is a consumer, nothing in this agreement reduces the rights that consumer law gives them.
9. Ending the agreement
Either party may end this agreement by written notice if the other seriously breaches it and does not put the breach right within 14 days of being asked to in writing, or if the other becomes insolvent. If the agreement ends, the Buyer pays for the Goods already delivered and kept, and the Seller refunds any amount paid for Goods not delivered.
10. General
- Neither party is responsible for a delay or failure caused by events beyond its reasonable control, as long as it tells the other promptly and does what it reasonably can to limit the effect. If such an event delays delivery by more than 60 days, either party may cancel the purchase of the Goods not yet delivered, and any amount paid for them is refunded.
- Neither party may transfer this agreement to someone else without the other's written consent.
- Notices under this agreement must be in writing, and may be sent by email to the address each party last gave the other.
- This agreement is the whole agreement between the parties about the Goods. It may be changed only in writing signed by both parties. If any part of it cannot be enforced, the rest stays in effect.
- It may be signed in separate copies and electronically, and together they form one agreement.
11. Governing law and disputes
This agreement is governed by the laws of Country or state whose law applies. The parties will first try to settle any dispute by discussing it in good faith. If they cannot settle it within 30 days, either party may take it to the courts of Country or state whose law applies, which have jurisdiction.
