Social Media Management Agreement
This agreement is made on 7 November 2026 between:
- Nomad Outdoor Gear, of 55 Pine Avenue, Vancouver, Canada ("the Client"); and
- Lena Torres Social, of Calle Mayor 14, Madrid, Spain ("the Manager").
1. Services
The Manager will manage the Client's social media on: Instagram, TikTok and LinkedIn pages of Nomad Outdoor Gear.
The services are:
Content planning, 12 posts and 8 short videos a month, replies to comments within one working day, community management.
Anything not listed is outside this agreement and is agreed in writing, with its own price, before it starts.
2. Access and accounts
The accounts belong to the Client. The Client gives the Manager the access it needs, and the Manager will keep log-in details secure, will not share them, and will hand back all access when the agreement ends.
3. Approval of content
The manager sends the monthly plan by the 25th. The client approves or comments within 3 working days.
The Client is responsible for the accuracy of the facts, claims and offers it supplies. The Manager will not post anything the Client has not approved, except routine replies within guidelines the Client has agreed.
4. Rules for content
The Manager will follow each platform's rules and the law on advertising and disclosure, and will not post material that infringes others' rights. The Manager will tell the Client at once about a complaint, a crisis or a serious comment.
5. Advertising budget
The Client's advertising budget is Up to CAD 1,500 a month, paid by the client directly to the platforms.
Advertising spend is not part of the Manager's fee. The Manager will not spend beyond the amount the Client has approved.
6. Reporting
A monthly report on reach, engagement, follower growth and clicks, plus a call each quarter.
The Manager works to improve results but does not guarantee any number of followers, sales or views, which depend on platforms and many factors outside its control.
7. Fee and payment
The fee is CAD 1,800 a month, invoiced on the 1st, due in 14 days. If an invoice is unpaid 14 days after its due date, the Manager may pause the services until it is paid.
8. Term and ending
The agreement starts on 1 January 2027, for at least 3 months. After that it continues until either party ends it by giving 30 days of written notice. Either party may end it at once, by written notice, if the other seriously breaches it and does not put it right within 7 days of being asked.
9. Who owns the content
The Client owns the accounts, the audience and all content made for them, once the Client has paid for it. The Manager keeps its own templates, methods and tools, and may show the work in its portfolio unless the Client objects in writing.
10. Confidentiality
Each party will keep the other's non-public information confidential and use it only for this agreement. This continues after the agreement ends.
11. Independent contractor
The Manager is an independent contractor, not an employee, and is responsible for its own taxes and insurance.
12. Liability
Neither party is liable to the other for indirect losses, such as lost profits. The Manager's total liability is limited to the fees paid in the three months before the claim, except where the law does not allow such a limit.
13. General
This is the whole agreement. It may be changed only in writing signed by both parties. If any part cannot be enforced, the rest stays in effect. It may be signed in separate copies and electronically.
14. Governing law
This agreement is governed by the law of British Columbia, Canada. The parties will first try to settle any dispute by talking in good faith. If that fails, the courts of British Columbia, Canada have jurisdiction.
