A contract termination letter is a formal notice that you are ending an agreement. It must say which contract, who is ending it, when it ends and why if the contract needs a reason. The most common failure is not the wording but the delivery: a letter sent the wrong way, to the wrong address or too late may not count at all. This guide shows how to write one and send it so you can prove it.

Use the contract termination letter template as the base.

Step 1: Read the contract

Before you write, find these clauses and copy them out:

  • Term and renewal. Does it renew automatically? Many contracts roll over if you miss the window.
  • Termination. For convenience, for cause, or both?
  • Notice period. How many days or months, and counted from when?
  • Form of notice. Letter, email, registered post, a named person or address.
  • Cure period. For a breach, you may need to give the other side time to fix it first.
  • Fees on exit. Early termination charges, minimum terms, return of equipment or data.

Check amendments and any order forms too. The latest version rules.

Step 2: Decide the reason

If the contract allows termination for convenience, you can say you are exercising that right and need not explain. If you end for breach, describe the breach in facts and say you gave the required chance to fix it, with dates. Do not add accusations or complaints you cannot prove.

Step 3: Write the letter

A clear letter has these parts, in this order:

  1. Your name and address, the date, and the other party's name and address.
  2. A subject line: "Notice of termination of [contract name] dated [date]".
  3. The decision: "We give notice that we are terminating this agreement under clause 12.1."
  4. The end date: "The agreement will end on 31 January 2027, which is 60 days after this notice."
  5. The reason, if one is needed, in two or three factual sentences.
  6. What happens next: final invoice, return of equipment, data export or deletion, handover of work.
  7. A request to confirm receipt in writing.
  8. Signature and role.

Keep it to one page. Be polite and firm. Do not mix in other disputes.

Example wording: "Dear Ms Lopez, under clause 9.2 of the services agreement dated 4 February 2025 between Northwind Ltd and Harbor Studio, we give 60 days' written notice of termination. The agreement will end on 31 January 2027. Please send the final invoice by 15 February 2027 and confirm in writing that you received this letter. Please also delete our files in line with clause 11 and confirm when done."

Step 4: Send it so you can prove it

  • Send it the way the contract says, to the address it names.
  • Use tracked post or a courier with a signature, and email a copy if allowed.
  • Keep proof: the receipt, the tracking page, the sent email and a copy of the letter as sent.
  • Count the notice from when the contract says it starts, often receipt, not posting. Send early to leave margin.
  • Put the end date in your calendar, with a reminder a month before.

Step 5: Close out

  1. Confirm the other side acknowledged the notice.
  2. Pay or collect the final invoices.
  3. Return equipment and get a receipt.
  4. Get your data back and ask for written confirmation of deletion.
  5. Cancel linked services: payments, access, subscriptions.
  6. File the contract, the notice and the proofs together. Store them with the rest of your library.

Mistakes that cost money

  • Missing the renewal window. The contract renews for another year.
  • Wrong address or wrong channel. The notice is invalid.
  • Ending too early. Some contracts have a minimum term and you owe the rest.
  • No cure period for a breach. The other side says you did not follow the process.
  • Vague end date. Say the exact date.
  • Sending an angry letter. It can hurt you if the matter reaches a court.

If you also sign contracts, read contract clauses to read twice before you sign, and if the other side owes you money, the payment reminder guide. To summarise the clauses of a long contract before you write, you can ask questions about the text in chat.

Ending different kinds of contract

The same steps apply, but each kind has its own points.

  • Service or supplier agreement. Check minimum terms and monthly fees due to the end date. Ask for a final statement and the return of your data.
  • Subscription or software. Cancel before the renewal date, not on it. Export your data first, then cancel, because access may stop at once.
  • Lease or rental. Notice often has strict timing, such as to the end of a month, and a required condition for the premises. Photograph the state on the last day.
  • Employment. Special rules apply, including notice periods set by law, reasons that are protected and process duties. Do not use a general template without advice. See our guide on the employee warning letter for the steps before this point.
  • Consumer contract. Consumers often have cooling off and cancellation rights set by law, which can override the contract. Check what applies in your country.

Mutual termination

If both sides want to end early, you can sign a short agreement instead of a one sided notice. It should name the contract, the agreed end date, what each side pays or returns, and that neither side has further claims, if that is what you agreed. Both sign and date it. This avoids disputes about whether notice was valid, and it is often the quickest way out when the relationship has run its course.

Termination for breach

If the other side broke the contract, ending it is a bigger step than ordinary notice. Before you write:

  1. Identify the clause that was broken and the facts.
  2. Check if the breach is serious enough to allow ending, or whether the contract requires a warning and a time to fix.
  3. Send a breach notice first if the cure period requires it, and keep the proof.
  4. Wait for the period to pass. Then send the termination notice.
  5. Keep calm and factual. Courts and mediators read these letters.

Because the stakes can be high, this is where a lawyer's review pays for itself.

If the other side disagrees

Sometimes the other side replies that the notice is invalid. Do not argue by email in circles. Re-read the clause, and if you were right, reply once, politely, quoting it. If the answer is still no, suggest a call and, if needed, mediation, which is usually cheaper than a court. Keep paying what you clearly owe and keep delivering what you clearly owe while the matter is open, so you stay in the stronger position.

You can ask questions about a long contract in chat, but always check the answer against the original clause, and let an adviser confirm anything that matters.

The short version

Read the notice clause, decide the reason, write one clear page with the contract, the clause, the end date and next steps, send it the way the contract demands and keep proof. Mark the renewal and notice dates in your calendar so you never have to rush again.

Les questions qu’on nous pose

How much notice do I have to give?
What the contract says. Look for the termination or notice clause. If the contract is silent, the law of your country decides, so ask an adviser before you assume.
Can I end a contract without a reason?
Some contracts allow termination for convenience with notice. Others allow it only for cause, such as a serious breach. The clause tells you which one you have.
Is email enough to terminate?
Only if the contract allows it. Many contracts require a written letter to a named address, by tracked post or courier. Follow the notice clause exactly.
