A contract termination letter is a formal notice that you are ending an agreement. It must say which contract, who is ending it, when it ends and why if the contract needs a reason. The most common failure is not the wording but the delivery: a letter sent the wrong way, to the wrong address or too late may not count at all. This guide shows how to write one and send it so you can prove it.
Use the contract termination letter template as the base.
Step 1: Read the contract
Before you write, find these clauses and copy them out:
- Term and renewal. Does it renew automatically? Many contracts roll over if you miss the window.
- Termination. For convenience, for cause, or both?
- Notice period. How many days or months, and counted from when?
- Form of notice. Letter, email, registered post, a named person or address.
- Cure period. For a breach, you may need to give the other side time to fix it first.
- Fees on exit. Early termination charges, minimum terms, return of equipment or data.
Check amendments and any order forms too. The latest version rules.
Step 2: Decide the reason
If the contract allows termination for convenience, you can say you are exercising that right and need not explain. If you end for breach, describe the breach in facts and say you gave the required chance to fix it, with dates. Do not add accusations or complaints you cannot prove.
Step 3: Write the letter
A clear letter has these parts, in this order:
- Your name and address, the date, and the other party's name and address.
- A subject line: "Notice of termination of [contract name] dated [date]".
- The decision: "We give notice that we are terminating this agreement under clause 12.1."
- The end date: "The agreement will end on 31 January 2027, which is 60 days after this notice."
- The reason, if one is needed, in two or three factual sentences.
- What happens next: final invoice, return of equipment, data export or deletion, handover of work.
- A request to confirm receipt in writing.
- Signature and role.
Keep it to one page. Be polite and firm. Do not mix in other disputes.
Example wording: "Dear Ms Lopez, under clause 9.2 of the services agreement dated 4 February 2025 between Northwind Ltd and Harbor Studio, we give 60 days' written notice of termination. The agreement will end on 31 January 2027. Please send the final invoice by 15 February 2027 and confirm in writing that you received this letter. Please also delete our files in line with clause 11 and confirm when done."
