Some messages are too important for a casual email: ending a contract, asking for money that is overdue, giving someone permission to act for you, complaining about a serious fault. For these, a formal business letter does three things. It states the facts so nobody can claim they misunderstood. It asks for one clear thing. And it leaves a record.

Formal does not mean cold or old fashioned. The best formal letters are plain, short and calm. They are written so that a stranger, such as a manager, a judge or an auditor, could read them in a year and understand exactly what happened and what was asked.

Know your one purpose

Before you write, finish this sentence: "After reading this letter, the reader should ___." Pay the invoice. Confirm the cancellation. Replace the faulty item. Accept that Maria can sign on my behalf. If you have two purposes, you probably need two letters.

Then decide what you will do if the reader does not respond, because the letter should say it.

The structure that works

  1. Your details and the date. Name, address, contact information, and the date written.
  2. Their details. The person or department, the company and the address. Use a name if you can find one.
  3. A reference line. A subject that identifies the matter: "Invoice 2041 dated 3 March, unpaid" or "Termination of subscription, account 77812".
  4. The opening. Say why you are writing in the first sentence.
  5. The facts. What happened, in order, with dates, numbers and documents.
  6. What you want. One clear request, with a date.
  7. What happens next. The step you will take if there is no reply, and how to reach you.
  8. A courteous close and your signature.

Keep it to one page where you can. Attach copies of documents, never originals, and list them at the bottom.

Be exact about facts

Strong letters are made of specifics:

  • Dates: the day the service was ordered, delivered, due and not paid.
  • Amounts: the figures, the currency and what they cover.
  • References: invoice, order, contract and account numbers.
  • Earlier contact: "I called on 12 March and spoke to Ahmed, who promised to call back. I wrote on 19 March. I have not had a reply."

Leave out opinions and speculation about motives. "You have ignored us" is an opinion; "I wrote on 19 March and have had no reply" is a fact that makes the same point.

Ask for one thing, with a date

"Please pay the 1,250 owed by invoice 2041 by 28 March." "Please confirm in writing by 15 April that the contract ends on 30 April." Vague wishes get vague answers. Choose a deadline that is fair, usually seven to fourteen days, and say what you will do afterwards.

Keep the tone steady

Firm and polite is a strong position. Avoid sarcasm, capital letters and threats you will not carry out. Do not accuse; describe. If you are angry, write the angry version, put it aside and rewrite it the next day.

If you are the one in the wrong, say so briefly and move to the solution. Our post on payment reminder emails shows the gentler first steps before a formal letter is needed.

Common types and their jobs

A demand for payment. Used after friendly reminders have failed. It states the invoice, the amount, the due date, the late fees allowed by your terms or law, the new deadline and what you will do next. The demand letter for an unpaid invoice template has the parts. Keep it factual: a letter that overstates the amount or threatens something unlawful can hurt your case.

A cancellation or termination. Used to end a contract or subscription. Check the notice period and the required way to give notice first. State the contract, the date you want it to end, and ask for written confirmation, including that no further charges apply. The cancel a contract or subscription template covers the usual points.

An authorization. Used to let another person act for you, for example to collect a parcel or deal with an office. Name the person, say exactly what they may do, for how long, and sign. The authorization letter template is a model.

A complaint. Used for a serious fault. Say what you bought, what went wrong, what you have already done, and the remedy you want.

Delivery and proof

How the letter reaches the reader can matter as much as what it says. If the contract names a method, use it. Otherwise choose one that leaves a trace: email with a delivery or read record, registered or tracked post, or a handed copy with a signature. Keep a copy of the letter as sent, and a note of the date and method.

Be careful with rules about notices to consumers and about debt collection, which vary by country. If a large amount is involved, ask a lawyer to read the letter before it goes.

Follow up

If the date passes, do what you said you would do. Send a second, shorter letter that refers to the first. Failing to follow through teaches the reader that your deadlines are not real.

Where nerix helps

Start from a free template and fill in a short form; the letter builds itself and downloads as Word or PDF, and what you type stays in your browser.

In the chat, you can tell nerix the facts and the outcome you want and ask for a first draft, or paste your angry draft and ask for a calmer version that keeps every fact. It opens beside the chat, with each version kept. Email drafts (early access) does the covering email and sends nothing until you press Send.

It does not know the law that applies to you or what you agreed on the phone. Check every date and amount, and ask a professional about anything with real money or legal risk behind it.

The short version

Know your one purpose. Use a clear structure. Write facts, not opinions. Ask for one thing by a date. Stay firm and polite, choose a delivery method that leaves proof and follow through on what you said.

أسئلة يطرحها الناس

Should a formal letter be sent on paper or by email?
Follow the contract or the rules that apply. Where the contract says written notice to an address, use that way. Otherwise email is accepted by most businesses, but keep proof of sending.
How firm should a first letter be?
Polite and exact. State the facts, say what you want and by when, and keep stronger steps for a later letter if you get no reply.
