### Engagement Letter

**Alvarez & Cho Chartered Accountants** 48 Queen Street, Auckland 1010, New Zealand

7 November 2026

**Kiwi Trails Limited** 7 Beach Road, Tauranga 3110, New Zealand For the attention of Hana Walker, Director

Dear Hana Walker, Director ,

## Our engagement for accounting and tax services

Thank you for choosing Alvarez & Cho Chartered Accountants ("we", "us"). This letter sets out the terms on which we will act for Kiwi Trails Limited ("you"). Please read it carefully. If you are content with it, sign and return a copy. Our engagement starts on 1 April 2027 , or earlier if you have asked us to begin work, and is subject to the terms of this letter (the "Engagement").

## 1. The scope of our work

We will do the following (the "Work"):

Prepare the annual financial statements for the year ending 31 March 2027, prepare and file the company's income tax return, and advise on the tax treatment of the new vehicle purchase.

Draft statements within 6 weeks of receiving the records, and the tax return filed by 7 July 2027.

We will carry out the Work with reasonable skill and care, in line with the professional standards and the laws that apply to us.

## 2. What is not included

The Engagement is limited to the Work. It does not include:

Bookkeeping, payroll, audit work, advice on the sale of the business, and dealing with any investigation or dispute with the tax authority.

If you ask us to do anything else, or if the facts change, we will tell you whether it is outside the Work, and we will do it only after we have agreed it with you in writing, for example by email. Unless we agree otherwise, the terms of this letter will apply to it.

Our advice is for you, and only for the purpose of the Work. It must not be relied upon by anyone else, or for any other purpose, without our written consent. We are advisers and not guarantors: we cannot promise a particular result, for example the outcome of a decision by an authority or a court.

## 3. Our responsibilities

We will:

- carry out the Work with the skill, care and diligence expected of a competent professional in our field;

- assign suitably qualified people, and tell you who is mainly responsible for the Work;

- keep you informed of progress and of important matters that we learn;

- keep to the dates in this letter, as long as we have what we need from you;

- tell you promptly if we think we cannot meet a date or complete part of the Work;

- keep your information secure and confidential, as in section 8.

## 4. Your responsibilities

You will:

- give us, in good time, complete and accurate information that we need, including: Bank statements, sales and purchase invoices, payroll reports, loan statements and asset records for the year, by 30 April 2027.

- tell us promptly of any change or event that may affect the Work;

- make decisions and give instructions in good time, and tell us who may do so for you;

- tell us if you do not understand any part of our advice;

- make sure that the information you give us is true, and that you have the right to give it to us;

- keep your own records, and keep to your legal duties, for example filing deadlines, unless we have agreed in writing to do it for you;

- pay our fees as in section 5.

We will rely on the information you give us. We do not check it for accuracy, unless it is a part of the Work, and we are not responsible for any problem that results from information that is incomplete, late or wrong. If you give us information late, we may not be able to meet dates, and we may charge for the extra time.

## 5. Fees and billing

Our fees are calculated as follows: How fees are calculated

A fixed fee of NZD 4,800. Work outside the scope is charged at NZD 190 an hour for a manager and NZD 120 an hour for other staff.

Filing fees and travel outside Auckland are charged at cost.

Billing: 50% on acceptance of this letter and the rest when the statements are delivered; invoices are payable within 14 days .

NZD 1,500

- Unless it says so, our fees do not include sales tax, value added tax or any similar tax, which you will pay in addition if it applies.

- If the Work takes much more time than we expected because of late or incomplete information, changes you ask for or events outside our control, we will tell you as early as we can and agree with you how to proceed. We will not charge for the extra time without telling you first.

- If you do not pay an invoice by its due date, we may, after written notice, stop work until you pay. We may charge interest on late amounts at the rate the law allows.

- If you have a question about an invoice, tell us within 14 days of receiving it. We will look into it promptly.

- You remain responsible for our fees even if someone else has agreed to pay them for you.

- Fees you have paid are not refunded if you end the Engagement, except that we will refund any part of an advance payment that is not used.

## 6. Conflicts of interest

Before accepting the Engagement, we have checked our records and are not aware of any conflict of interest that stops us from acting for you. A conflict arises when our duties to one client are in opposition to our duties to another, or to our own interests.

If we become aware of a conflict, we will tell you promptly. Where the rules of our profession allow, we may continue to act with your informed written consent and with safeguards, such as keeping the information of each client in separate teams. If we cannot do so, we may have to stop acting for one or both clients. We may act for other clients whose interests differ from yours, if that is permitted and we keep your information confidential.

## 7. Independence

We will tell you in good time if any relationship, financial interest or other circumstance might reasonably be thought to affect our objectivity or independence in relation to the Work, and if we need to take any steps.

## 8. Confidentiality and data

We will keep your information confidential and use it only for the Work. We will not tell it to anyone else, except:

- our partners, staff, subcontractors and advisers who need it for the Work and are bound to keep it confidential;

- where you ask or agree;

- where the law, a court or our professional rules require or allow us to do so, for example to a regulator or in a legal proceeding. Where we can lawfully do so, we will tell you first.

We will keep any personal data you give us secure and process it only for the Work and for our legal duties, as the data protection law that applies requires. You are responsible for making sure that you may lawfully give us this data. This duty continues after the Engagement ends.

You agree that we may communicate with you and send documents by email and other electronic means. Electronic communication is not completely secure, and we cannot guarantee that it is free from interception or viruses. Please tell us if you want us to use another means for sensitive documents.

## 9. Records and documents

- You remain the owner of the documents and records you give us. We will give them back when you ask, subject to our right to keep them where the law allows until our fees are paid.

- We own our working papers, drafts and internal notes, subject to our duty of confidentiality. We will give you copies of what we are required to give you.

- We will keep our file for 7 years after the end of the Engagement, or longer if the law or our professional rules require, and may then destroy it securely without further notice to you.

- Our advice and documents are final only when we deliver them in final form. Please do not rely on drafts or oral advice.

## 10. Limit of liability

- Nothing in this letter limits or excludes our liability for fraud, for death or personal injury caused by our negligence, or for anything else that the law does not allow us to limit.

- Subject to that, our total liability to you under or in connection with the Engagement, whether in contract, negligence or otherwise, is limited to NZD 250,000 .

- We are not liable for any loss of profit, revenue, business or goodwill, or any indirect or consequential loss.

- We are not liable for any loss that results from information being untrue, late or incomplete, from your failure to follow our advice, or from your failure to meet a legal deadline that you were responsible for.

- Any claim must be made within the time the law allows, and in any case within one year after you first knew, or should have known, of the facts on which it is based, unless the law gives you longer and does not allow this limit.

- If another person is also responsible for the loss, our liability is limited to the share that is fair, having regard to the share of that other person.

The firm holds professional indemnity insurance with Southern Cross Insurance, and details are available on request.

## 11. Ending the Engagement

- You may end the Engagement at any time by giving us written notice. We may end it by giving you 14 days written notice, or at once if you have not paid, have not given us what we need, have given us untrue information, or if the rules of our profession or the law require us to stop.

- When the Engagement ends, you will pay us for the Work done and the expenses incurred up to the date it ends. We will give you what you are entitled to, and, if you ask, we will help with a handover to another adviser for a reasonable fee.

- Unless we have agreed otherwise, the Engagement ends when we send our final invoice or when the Work is complete, whichever is earlier. After that we have no duty to update our advice for changes in the law or the facts, or to remind you of things that may be due, unless you ask us to do so and we agree.

## 12. Complaints

We want to provide a good service. If you are not happy, tell us. Please write to the managing partner, Elena Alvarez ([elena@alvarezcho.example](mailto:elena@alvarezcho.example)) , and say what has gone wrong and what you would like us to do. We will acknowledge your complaint promptly, look into it fairly and reply in writing, explaining our decision. If you are still not satisfied, you can ask for it to be reviewed by someone senior who was not involved, and you have the right to take it to the relevant authority or court.

This letter and the Engagement are governed by the laws of New Zealand .

## 14. General

- This letter is the whole agreement between us about the Work and replaces any earlier understanding. It may be changed only in writing that we both agree.

- If any part cannot be enforced, the rest stays in effect.

- Neither of us may transfer our rights under it without the other's written consent.

- It may be signed in separate copies and electronically, and together they form one agreement.

- If you do not sign and return this letter but ask us to continue, or you let us start the Work, you will be treated as having accepted these terms.
